Digital Image License Agreement
This Digital Image License Agreement (the “Agreement”) governs the use and licensing of digital images (“Images”) provided by Vegas Real Estate Photography (“Licensor”) to the end user (“Licensee”) upon purchase. By purchasing and downloading the Images, Licensee agrees to the terms and conditions set forth in this Agreement.
Grant of License:
This license grants Licensee a non-exclusive, non-transferable right to use the purchased digital image(s) for personal and commercial purposes as a single end user. The license permits Licensee to incorporate the image(s) into Licensee’s own creative projects, including but not limited to websites, social media, advertisements, presentations, and printed marketing materials.
Restrictions:
a) Resale: Licensee is prohibited from reselling the digital image(s) or any derivative work containing the image(s) in their original or modified form. The license is granted to Licensee as an individual end user and is not transferable to any other party.
b) Prints for Marketing: Licensee may make prints of the digital image(s) for marketing purposes, such as displaying them in physical locations or distributing them as promotional materials. However, the prints may not be sold or offered for sale.
c) Non-Exclusive Use: Non-Exclusive Use: This license is non-exclusive, and Licensor retains all rights to the image(s), including the right to license the image(s) to other individuals or entities.
Modifications:
Licensee is permitted to modify the digital image(s) to suit Licensee’s creative needs, including resizing, cropping, color correction, and adding text or overlays. However, the modified image(s) must not be used in a way that violates the terms of this agreement or infringes upon the rights of Licensor.
Use in perpetuity:
Once downloaded, Licensee has the right to use the digital image(s) indefinitely, subject to the terms of this license agreement.
Liability Limitation:
The Licensor’s total liability under this Agreement shall be limited to the total amount paid by the Licensee for the specific digital image(s) subject to the dispute. In no event shall the Licensor be liable for any consequential, incidental, indirect, special, punitive, or other damages, including, but not limited to, loss of profits, business interruption, loss of information, or any other pecuniary loss, arising out of the use or inability to use the licensed digital image(s), even if the Licensor has been advised of the possibility of such damages.
The Licensee acknowledges and agrees that the Licensor provides the licensed digital image(s) “as is” without any warranty, representation, or guarantee of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The entire risk as to the quality and performance of the licensed digital image(s) is with the Licensee.
This limitation of liability shall apply even in the event of the fundamental breach of contract or the failure of the essential purpose of any remedy. The Licensor shall not be liable for any failure or delay in performance due to any cause beyond its control.
By completing your purchase and downloading the digital image(s), you expressly agree to this limitation of liability. If you do not agree with this limitation, you may not download or use the digital image(s).
Indemnification:
Licensee agrees to indemnify and hold harmless the photographer and our website from any claims, damages, or legal actions arising out of Licensee’s use or misuse of the digital image(s) or any violation of this license agreement.
By completing your purchase and downloading the digital image(s), you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Digital Image License Agreement.
